Welcome to Clipido! These Terms of Service ("Terms") govern your access to and use of our services, applications, and website (“Services”). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, please do not use our Services.
Clipido offers innovative cloud-based storage solutions that simplify media management for businesses. Our goal is to provide a seamless, efficient, and secure way for you to manage, organize, and share your digital content. By using Clipido, you join a community dedicated to modern, user-friendly content management.

"User Content" means any media, documents, or other content that you upload or create through the Services.
"You" or "User" refers to the individual accessing or using the Services.
"Clipido", "we", "us", or "our" refers to Clipido BV.

3. Account Registration

To use our Services, you may be required to create an account and provide certain personal information. You agree to:

Provide accurate, current, and complete information during registration and keep it updated.
Maintain the confidentiality of your account credentials and be responsible for all activities under your account.
Notify Clipido immediately if you suspect unauthorized use of your account.

By registering for an account, you represent and warrant that you are at least 16 years old. If you are under 18, you confirm that you have obtained parental or guardian consent to use the Services. You must not impersonate someone else or provide account information or an email address other than your own.

4. Use of Services

Clipido grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or internal business purposes. You agree not to:
- Copy, modify, distribute, sell, lease, or create derivative works from any part of our Services without explicit written permission from Clipido.
- Reverse engineer, decompile, or attempt to extract the source code of the software.
- Access or use the Services for competitive analysis or to build a competing product or service.

5. Acceptable Use Policy

You agree not to misuse our Services. Specifically, you shall not:

Distribute or share content that infringes on any third party’s intellectual property rights or violates applicable law.
Interfere with or disrupt the integrity or performance of the Services or any related network or servers.
Attempt to gain unauthorized access to any portion of the Services or related systems.

Upload malware, viruses, or any other harmful code.

6. Content Ownership

Your Content

You retain ownership of all User Content that you upload to Clipido. By uploading User Content, you grant Clipido a limited, royalty-free, worldwide, non-exclusive license to use, reproduce, and display the content solely for the purpose of providing and improving the Services. This license ends when you delete the content from the Services or terminate your account.
You represent and warrant that you have the rights to upload the content and that it does not infringe on the rights of any third party.

Clipido Content

All rights, title, and interest in and to the Services, including but not limited to software, design, graphics, and logos, are owned by Clipido or its licensors. You may not use our branding, logos, or trademarks without prior written consent. Any feedback, suggestions, or ideas you provide regarding the Services may be used by Clipido without any obligation to you.

7. Privacy

Clipido's collection and use of your personal information are governed by our Privacy Policy. By using our Services, you consent to the collection and use of information as described in our Privacy Policy. We are committed to protecting your privacy and complying with applicable data protection regulations, including the General Data Protection Regulation (GDPR) where applicable.

You have the right to access, rectify, or erase your personal data, and to restrict or object to its processing. To exercise these rights, please contact us.

8. Third-Party Services

Our Services may contain links or integrations to third-party services. Clipido is not responsible for the availability, content, or practices of third-party services. Your use of any third-party services is solely at your own risk, and you should review the terms and conditions of these third-party services before using them.
Clipido may provide features that integrate with third-party platforms, but we make no guarantees as to the accuracy or reliability of those features, and we disclaim all liability for third-party services.

9. Subscription Fees and Payment

Certain features of Clipido may require a subscription or one-time fee. Subscription fees are billed in advance on a recurring basis as described in your order form. You authorize Clipido to charge your provided payment method for all applicable fees. You may cancel your subscription at any time before the next billing cycle through your account settings or by contacting support. Cancellation will take effect at the end of the current billing period.
Clipido reserves the right to change the subscription fees and will provide advance notice of any changes. By subscribing, you agree to keep your payment information up to date and to pay any applicable taxes or fees.

Refund Policy

If you are not satisfied with the Services, you may request a refund within 14 days of your initial purchase, provided you have not used the Services during that period. To request a refund, please contact Clipido support. All fees are otherwise non-refundable, except as required by applicable law.

10. Modifications to the Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

11. Termination

Clipido reserves the right to suspend or terminate your account at any time if you breach these Terms or engage in any activity that could harm Clipido or its users. Upon termination, all licenses granted to you will cease immediately, and any outstanding payments will become due.
You may terminate your account at any time by providing written notice to Clipido. Upon termination, you will no longer have access to your User Content. We will retain your User Content for 30 days after termination to allow you to export it if you wish. After this period, we will permanently delete your content from our systems.
Termination does not relieve you of any payment obligations that have accrued prior to termination. It is your responsibility to export any User Content you wish to retain before terminating your account.

12. Disclaimer of Warranties

The Services are provided “as is” and “as available” without any warranties, either express or implied. Clipido disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Clipido does not guarantee that the Services will be uninterrupted, error-free, secure, or free from harmful components.
While we strive to offer reliable and high-quality services, you acknowledge that occasional disruptions, errors, or loss of data may occur, and you agree to use the Services at your own risk.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, Clipido shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of revenue or profits, whether in contract, tort (including negligence), or otherwise, arising from or related to your use of the Services. Clipido's total liability for any claims related to the Services shall not exceed the amount you paid to Clipido in the twelve months preceding the event giving rise to the claim.
This limitation of liability applies to all claims, regardless of whether Clipido was advised of the possibility of such damages, and regardless of the legal or equitable theory upon which the claim is based.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold Clipido, its affiliates, officers, agents, and employees harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third party’s rights.
This indemnification obligation will survive any termination or expiration of these Terms and your use of the Services.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Belgium.
If you are using the Services in a country other than Belgium, you are responsible for compliance with the applicable local laws.

16. Changes to Terms

Clipido reserves the right to update or modify these Terms at any time. We will notify you of any material changes via email or through the Services. The updated Terms will become effective upon posting, unless otherwise stated. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
We encourage you to review these Terms regularly to ensure that you understand the terms and conditions that apply when you use the Services.

17. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Clipido regarding the use of the Services and supersede all prior agreements or understandings.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

No Waiver

The failure of Clipido to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Clipido's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Clipido may freely assign or transfer these Terms without restriction.

Force Majeure

Clipido shall not be liable for any failure to perform its obligations hereunder due to events beyond its reasonable control, including but not limited to natural disasters, war, acts of terrorism, riots, government actions, or internet disturbances.
